Job Summary Job Responsibilities- Under limited direction of Corporate Counsel, responsible for reviewing, maintaining and monitoring agreements, licenses, and documentation. Provide the principal review of external contractual documents to ensure adherence to company policy as well as identify risks, and areas of concern.
- Prepare complex agreements and other contractual instruments.
- Recommend, draft and coordinate implementation of business policies, processes, procedures and tools to ensure compliance with U.S. Government regulations and Company policies.
- Manage the international business due diligence process by providing a principal review, then tracking and maintaining records associated with diligence packages.
- Manage external law firm relationships, including processing of engagement letters, billing inquiries, auditor response letters and maintenance of current contact information.
- Manage the review and coordination of compliance annual refresher and new hire training modules to ensure compliance with U.S. Government regulations and Company Policy.
- Maintain the legal billing system, and assist Attorneys with managing outside counsel questions related to billing and firm invoices.
- Coordinate legal research subscriptions and/or account access, to include TRACE International, NAVEX Global, SAI Global, etc.
- Provide reports and update metrics by assembling and consolidating information derived from a variety of sources pertaining to compliance
- Maintain legal and compliance files and records in accordance with U.S. Government regulations and Company policy.
- Oversee collection of local training needs as it relates to requirements and provide this data to Corporate Counsel.
- Collaborate with Risk Management as needed by requesting and providing certificates of insurance.
- Oversee tracking audits and corrective actions as needed by Environmental Health and Safety
- Support compliance monitoring activities (e.g. self-assessments, internal audits, external audits).
- Special projects and duties as assigned.
- Support, communicate, reinforce and defend the mission, values and culture of the organization.
- Participate in business and corporate projects focusing on compliance
- Maintain awareness of all international activity
- Assist Attorneys by providing backup notary services as well as witnessing and documenting interviews
- Provide backup assistance to attorneys by coordinating legal research subscriptions and/or account access, to include Westlaw, Practical Law, Law 360, etc.
- 6+ years of business experience
- 6+ years in compliance related position
- Demonstrated ability to analyze and solve problems
- Expert skills with Microsoft Office products, specifically Word, Excel, PowerPoint, and SharePoint
- Application of basic business principles and concepts
- Attention to detail and follow through on tasks assigned
- Excellent oral and written communication skills
- Ability to multi-task
- Ability to travel as necessary to support the functions of the job
- Ability to work well in a team environment
