About the role:

This Associate Counsel position will provide legal advice relating to corporate governance and securities compliance matters and support the day-to-day operations of the Corporate Secretary function within the Legal group, reporting to Corporate Counsel.

  • Provide analysis and legal advice on a wide variety of corporate matters, in particular arising under the federal securities laws (including the Securities Act of 1933, Securities Exchange Act of 1934, Sarbanes Oxley Act, and Dodd-Frank Act)
  • Review and advise on securities law disclosure and compliance, including Forms 10-K, 10-Q, 8-K, and prepare materials relating to the annual meeting of stockholders\Monitor and advise on legal and regulatory developments to ensure continued compliance with SEC, NYSE and other legal and regulatory requirements and standards applicable to publicly traded companies
  • Advise on corporate governance, executive compensation and securities trading matters and Section 16 reporting
  • Prepare and maintain materials for the Board of Directors and its committees
  • Assisting on financing and other corporate transactions (including public and private securities offerings) and related securities registration requirements
  • Providing legal advice related to investor relations and public disclosure issues, including review of earnings announcements, press releases, and investor communications
  • Supporting governance of the Company's global subsidiaries and maintenance of the corporate books and records
  • Develop, support, and administer compliance processes and associated training for various corporate policies, including with respect to securities trading and regulations

The candidate should have knowledge of corporate and securities laws, and a willingness to develop expertise in the application of such laws and stock exchange standards, corporate governance and executive compensation policies, as well as compliance with regulatory disclosure requirements. This role will counsel various resource units within the company, including the Investor Relations, Finance, and Corporate Communications functions.

  • Ability to counsel and work with internal clients of diverse backgrounds, disciplines, needs and level of experience with legal matters

  • Hands-on, energetic and motivated self-starter with strong work ethic
  • Excellent writing, editing, and oral communication and advocacy skills
  • Strong organizational and project management skills

Qualifications & Experience:

  • Law degree from an accredited college or university and licensed to practice law in at least one U.S. jurisdiction (or ability to promptly become licensed).
  • 2-4 years of relevant experience working in a law firm and/or as in-house counsel for a publicly trading company, having training or practical experience with corporate governance matters and U.S. securities laws. 
  • A willingness and drive to develop additional expertise in all areas of corporate governance and securities compliance in a publicly traded company
  • Willingness to undertake and advise on other legal matters that arise and to provide support to Legal projects as needed.
